Terms, Policies, Support & Disclaimers

These terms, policies and disclaimers apply to the services provided by WET FISH PTY LTD (ACN 600 342 998), including the Scodle learning platform. In these terms, "Wet Fish", "we", "us" and "our" mean WET FISH PTY LTD.

Client Support

Client Support (via telephone and email) is provided during business hours (9 am to 5 pm AEST/AEDT Monday to Friday). Our target response time is within 2 hours of receiving the support request (within our hours of operation) and is for nominated client representatives only.

While we will endeavour to respond to any incident within 2 hours, we cannot guarantee a resolution time due to the variable nature of incidents (such as requiring a bug fix to be developed). All commercially reasonable efforts will be taken however to resolve the issue at the time it is logged or as quickly as possible thereafter.

End User Support (if included in the agreement)

If your agreement includes end user support we will provide email support up to the nominated hours of support each month, 9am-5pm Monday to Friday AEST/AEDT. End user support is only provided via the support desk email help@scodle.com. Our target response time is within 2 hours of receiving the support request (within our hours of operation).

The Scodle Service Level Agreement (SLA)

Scodle runs on hardware provided and managed by AWS in Sydney. Our virtual private cloud is Highly Available and aligned to the AWS IRAP PROTECTED Reference Architecture.

Our uptime (excluding periodic planned maintenance) exceeds 99.9%.

Whenever possible, we will endeavour to notify you at least 7 days in advance of any platform changes that may affect your services. We also endeavour to keep all maintenance windows as short as possible.

Security

We will take all commercially reasonable precautions to prevent unauthorised access to and disclosure of your data, however the fact that your data is stored on servers connected to the internet provides the opportunity for unauthorised parties to circumvent such precautions and illegally gain access. Accordingly, we cannot and do not guarantee the privacy, security or authenticity of any information transmitted over or stored in any system associated with our hosting platform.

Intellectual Property

Use of the Scodle platform does not transfer from Wet Fish to you any Wet Fish or third party intellectual property, and all right, title and interest in and to such property will remain solely with Wet Fish.

Works resulting from suggestions or requests (even when paid for) by a third party are the property of Wet Fish. The suggester/requestor consents to Wet Fish utilising any IP associated with the request/suggestion irrevocably and unconditionally including the right to grant or sell access to any resulting works or their derivatives to other third parties.

Changes

We reserve the right, at our sole discretion, to modify or replace any part of our terms of use. It is your responsibility to check the terms periodically for changes. Your continued use of or access to the platform following the posting of any changes constitutes acceptance of those changes. Termination

We may terminate your access to all or any part of the platform at any time, with or without cause, with 30 days written notice. In the case that we terminate access we will provide you with a pro-rate refund of any fees that have been paid in advance for services that will not be provided (after deducting any monies owed by you to us), and such payment will be Wet Fish's entire liability and your sole remedy in connection with such a termination.

If you wish to terminate this agreement or your Scodle account, you may do so with 30 days written notice. If such a termination occurs more than 10 days after commencement of the service you are not eligible for any refund of any moneys paid. If you terminate within 10 days of the service commencing we will provide you with a pro-rate refund of any fees that have been paid in advance for services that will not be provided (after deducting any monies owed by you to us), and such payment will be Wet Fish's entire liability and your sole remedy in connection with such a termination.

Disclaimer of Warranties

The Scodle website and all other services provided by Wet Fish are provided "as is". Wet Fish and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither Wet Fish nor its suppliers and licensors, makes any warranty that the website and associated services will be error free or that access thereto will be continuous or uninterrupted. You understand that you use the platform and any consequences that might arise from such use at your own discretion and risk.

Limitation of Liability

In no event will Wet Fish, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement or substitute products or services; or (iii) for interruption of use or loss or corruption of data. The foregoing shall not apply to the extent prohibited by applicable law.

General Representation and Warranty

You represent and warrant that (i) your use of our services will be in strict accordance with our Acceptable Use Policy, with this Agreement and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content) and (ii) your use of our services will not infringe or misappropriate the intellectual property rights of any third party.

Indemnification

You agree to indemnify and hold harmless Wet Fish, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys' fees, arising out of your use of our services, including but not limited to your violation of this Agreement.
